Section 171 of the Singapore Companies Act requires every company to appoint a secretary who resides in Singapore. The Directors must ensure that the Secretary has the knowledge and experience to discharge the function of Secretary of the company, which mainly includes compliance with the Singapore Companies Act.
Although, only public companies are required to appoint qualified Secretaries (as defined under Section 171(1AA)), all companies must ensure that the Secretarial function is properly carried out.
